Cedar Fair has filed a lawsuit claiming, I think, that the initial LOI violated CEQA.
I'm going to try to find a copy of the complaint.

I honestly don't care if they have a new stadium or not if they are not winning. Yes it would be great to play in an awesome stadium... but, who enjoys watching their team lose? It ruins my Sundays when the Niners lose and "I want winners" just isn't getting it done.

Isn't Great America closed during the fall? If so, what's their problem?

It's all about the money. They say they're "protecting their interests." Basically, they feel that their revenue will be impacted by construction and, later, by game day crowds. The park closes in November, sure, but construction will affect them year round and, once the stadium is finished, game day traffic will impact them in September and October. They have to make all their money March thru October and Sundays are one of their biggest grossing days, so anything that might affect crowd turnout at Great America could potentially hurt their bottom line.
I don't like them standing in the way of the stadium, but I understand how it works. This is just Politics 101.

It doesn't seem like the lawsuit is really something that's going to derail this. Glad to see it'll be on the June ballot. We need this to be approved; Niners to LA rumors make me throw up.

Not too mention the "other events" that will be held at the stadium during the 49ers offseason. I guess they think that those other events will hurt the park

Santa Clara is where stadium propositions go to die. We aren't getting a stadium any time soon...especially with the buffoons that own this team. Their best shot was in 97 when eddie had San Fran in his back pocket before blowing it in Louisiana.
